1. INTRODUCTION AND ACCEPTANCE
1.1 The website rosalieandgrace.com (the "Website") is operated by Rosalie & Grace ("we", "us", "our").
1.2 By visiting the Website and/or purchasing from us, you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"), including our Return & Refund Policy, Shipping Policy and Privacy Policy, which form an integral part of these Terms.
1.3 If you do not agree to these Terms, you may not use the Website or place an order.
2. ELIGIBILITY
2.1 By using the Website, you represent that you are at least eighteen (18) years of age, or that you have the consent of a parent or legal guardian.
2.2 You may not use our products or the Website for any illegal or unauthorized purpose, including resale without our prior written consent.
3. PRODUCTS AND PRODUCT INFORMATION
3.1 We make every effort to display the colors, images and details of our products as accurately as possible. Colors may vary depending on screen, device and lighting. Product images may include styling items that are not part of the product.
3.2 Measurements are approximate and may vary by up to two (2) inches due to manual measuring and production. The Customer is responsible for consulting the size chart before placing an order.
3.3 We reserve the right to modify or discontinue any product at any time without notice.
4. PRICES, PROMOTIONS AND ERRORS
4.1 All prices are displayed in US dollars. Prices are subject to change without notice.
4.2 Sale prices, discounts and promotions are valid for a limited time and while supplies last. Discount codes cannot be combined unless explicitly stated, and promotions cannot be applied retroactively to previous orders.
4.3 Despite our efforts, a product may occasionally be listed with an incorrect price, description or availability. We reserve the right to correct any errors and to cancel orders affected by such errors, even after order confirmation, in which case any payment will be refunded in full.
5. ORDERS AND ACCEPTANCE
5.1 Placing an order constitutes an offer to purchase. A contract is formed only once we have shipped the order.
5.2 We reserve the right to refuse, limit or cancel any order at our sole discretion, including orders that appear to be placed by resellers, contain unusual quantities, or show signs of fraud. If an order is cancelled after payment, the full amount will be refunded.
5.3 Orders may be cancelled or modified within twelve (12) hours of placement, in accordance with our Return & Refund Policy.
6. PAYMENT
6.1 Payment is due in full at the time of the order. We accept the payment methods displayed at checkout. All payments are processed securely by our payment providers; we do not store full card details.
6.2 You confirm that you are authorized to use the payment method provided.
7. SHIPPING AND RISK OF LOSS
7.1 Orders are shipped in accordance with our Shipping Policy. Delivery times are estimates and not guaranteed.
7.2 Risk of loss passes to the Customer once the carrier marks the order as delivered to the shipping address provided at checkout.
7.3 Any import duties, taxes or customs fees are the responsibility of the Customer.
8. RETURNS AND REFUNDS
8.1 Returns, exchanges and refunds are governed exclusively by our Return & Refund Policy.
9. PAYMENT DISPUTES AND CHARGEBACKS
9.1 The Customer agrees to contact us at support@rosalieandgrace.com before initiating any payment dispute or chargeback, and to allow us a reasonable opportunity to resolve the matter.
9.2 In the event of a dispute, we may provide the Customer's bank or payment provider with all relevant information, including order confirmation, payment and IP data, tracking and delivery confirmation, communication records and the policies accepted at checkout.
9.3 We reserve the right to refuse future orders from Customers who initiate unjustified chargebacks.
10. GIVEAWAYS AND PROMOTIONS
10.1 No purchase is necessary to enter or win any giveaway. A purchase does not increase the chances of winning.
10.2 Giveaways are open to legal residents of the United States aged eighteen (18) or older. Employees of Rosalie & Grace and their immediate family members are not eligible.
10.3 One winner is selected at random each calendar month from all eligible newsletter subscribers in that month and notified by email. If a winner does not respond within seven (7) days, a new winner may be selected.
10.4 Prizes consist of store credit with no cash value, are non-transferable and are valid for twelve (12) months. Odds of winning depend on the number of eligible entries. Void where prohibited.
11. INTELLECTUAL PROPERTY
11.1 All content on the Website, including text, images, logos, graphics and designs, is the property of Rosalie & Grace or its licensors and may not be copied, reproduced or used without our prior written consent.
12. USER CONTENT
12.1 By submitting reviews, photos, comments or other content to us, you grant us a non-exclusive, royalty-free, worldwide and perpetual license to use, reproduce and display such content for marketing purposes. You confirm that your content does not violate any rights of third parties.
13. THIRD-PARTY SERVICES
13.1 The Website may contain links to or use services of third parties, including payment providers and carriers. We are not responsible for the content, policies or practices of third parties.
14. DISCLAIMER OF WARRANTIES
14.1 The Website and all products are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, except those expressly stated in our policies. We do not guarantee that the Website will be uninterrupted, timely or error-free.
15. LIMITATION OF LIABILITY
15.1 To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, punitive or consequential damages arising from the use of the Website or our products.
15.2 Our total liability for any claim relating to a product shall not exceed the amount paid by the Customer for that product.
16. INDEMNIFICATION
16.1 You agree to indemnify and hold harmless Rosalie & Grace, its owners, employees and partners from any claims, damages or costs, including reasonable legal fees, arising from your breach of these Terms or your violation of any law or rights of third parties.
17. FORCE MAJEURE
17.1 We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including carrier delays, customs inspections, natural disasters, pandemics, strikes, war or government measures.
18. SEVERABILITY
18.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
19. CHANGES TO THESE TERMS
19.1 We reserve the right to update or modify these Terms at any time by posting the updated version on the Website. The version in effect at the time of the order applies to that order. Continued use of the Website after changes constitutes acceptance of the revised Terms.
20. GOVERNING LAW
20.1 These Terms shall be governed by and construed in accordance with applicable law, without prejudice to any mandatory consumer protection rights the Customer has under the laws of their state of residence.
